This agreement is a legally binding contract. By clicking "I Accept" during onboarding, or by uploading content to the Platform, you confirm you have read, understood, and agree to be bound by these terms. If you are signing on behalf of a band or collective, you warrant you have authority to bind all members.
This Artist Licence and Distribution Agreement (“Agreement”) is entered into between:
[COMPANY NAME] Ltd, a company registered in England and Wales under company number [COMPANIES HOUSE NUMBER], whose registered office is at [REGISTERED ADDRESS] (“Platform Operator”, “we”, “us”, “our”); and
The individual or entity registered as an artist on the M1xer platform (“Artist”, “you”, “your”).
The Platform Operator and the Artist are each a “Party” and together the “Parties”.
3.1 Masters remain yours. This Agreement does not transfer, assign, or encumber ownership of any copyright in your Sound Recordings, Musical Works, or any other Artist Content to the Platform Operator. You retain full ownership of your Sound Recordings under ss. 9–11 CDPA 1988.
3.2 Publishing rights. We acquire no ownership of, and no licence from you in, the underlying Musical Work (composition and/or lyrics). We hold a PRS for Music licence covering the streaming and sale on the Platform of Musical Works in the PRS for Music and MCPS repertoire (see Clause 9). Where a Musical Work is not covered by that licence, you are responsible for clearing it with its owner or publisher.
3.3 Performers' Rights. To the extent that you or any featured performer holds Performers' Rights in the Sound Recording under Part II CDPA 1988, you grant (and warrant you have authority to grant on behalf of all featured performers) the consents described in Clause 4 in respect of those rights.
4.1 Non-exclusive licence. Subject to the terms of this Agreement, you grant to the Platform Operator a non-exclusive, worldwide, royalty-bearing licence during the Term to:
4.2 Non-exclusive — what this means. This licence is non-exclusive. You may simultaneously distribute your Sound Recordings through any other channel or platform (including Spotify, Apple Music, Bandcamp, SoundCloud, and physical formats) without restriction or obligation to notify us.
4.3 Limitations on our licence. We may not, without your separate written consent:
4.4 Opting out of promotional videos. You may opt out of Clause 4.1(j) at any time by emailing nichesolutions6@gmail.com. We will not use your Artist Content in new promotional videos after we receive your opt-out, and we will remove any video already posted within fourteen (14) days of your request. No payment is due to you for promotional videos.
4.5 You are the seller. You are the seller of each Paid Item and the provider of each Live Set. We operate the Platform and collect Fan Payments on your behalf. You are responsible for delivering any physical merchandise you sell, for running any event you sell tickets to, and for the terms of any beat licence you grant to a buyer.
5.1 Assertion of paternity. You hereby assert your right to be identified as the author and/or performer of Artist Content pursuant to ss. 77–78 CDPA 1988. We commit to displaying your artist name in connection with all uses of Artist Content on the Platform.
5.2 Integrity. We will not subject Artist Content to any derogatory treatment within the meaning of s.80 CDPA 1988. Transcoding to different audio formats for streaming purposes does not constitute derogatory treatment.
5.3 False attribution. We will not falsely attribute Artist Content to any person other than you.
6.1 Your prices. You set the price of each Paid Item, within the minimum and maximum limits shown in your artist dashboard.
6.2 Sales. For each Paid Item a fan buys from you, you receive 90% of the Fan Payment and we keep 10% as our platform fee.
6.3 Your fan subscriptions. Catalog Pass and Exclusive Vault are subscriptions to you alone. For each subscription payment a fan makes to you, you receive 90% and we keep 10%. Subscription income is not pooled with other artists.
6.4 Tips and gifts. For each Tip, you receive 70% of the Fan Payment and we keep 30%.
6.5 All Access. All Access is optional. You choose which of your tracks to opt in from your artist dashboard, and you may opt a track out at any time; streams after you opt out do not count. Each calendar month, 90% of the All Access subscription income we receive in that month forms the “All Access Pool”. Your share is calculated as:
Your All Access Revenue = All Access Pool × (Your Confirmed Streams in Month ÷ Total Confirmed Streams Across All Artists in Month)
Where Total Confirmed Streams is zero in any month, the All Access Pool for that month is not paid to any artist. Annual All Access subscriptions are spread evenly across the twelve (12) months they cover.
6.6 How Coins are credited. Each Coin a fan spends with you is credited at £0.01, whatever price the fan paid for it. Promotional Coins that we give away free can only be spent on Platform services and are never spent on your Paid Items or Tips.
6.7 Fees and VAT. Card processing fees charged by our payment processor (currently Stripe) are paid by us out of our share and are not deducted from yours. If we are required to account for VAT on a Fan Payment, the shares in this Clause 6 are calculated on the Fan Payment less that VAT.
6.8 Platform services you buy. Artist Pro (currently 799 Coins a month) and featured placements are services you buy from us. They are governed by our Terms of Service and are not part of the revenue share.
6.9 Changes to revenue share. We may revise the rates in this Clause 6 on not less than sixty (60) days' written notice. If you do not accept the revised rate you may terminate this Agreement under Clause 13. Continued use of the Platform after the notice period constitutes acceptance of the revised rate.
6.10 No guaranteed income. We make no representation that the Platform will generate any specific level of revenue for you.
7.1 Stripe Connect. Payments are made via Stripe Connect. You must complete Stripe's Know Your Customer (“KYC”) identity verification before any funds can be disbursed. We are not responsible for delays caused by Stripe's verification process.
7.2 Requesting a payout. Your earnings are added to your balance when each Fan Payment is made. You may request a payout of your balance from your artist dashboard at any time once it reaches the minimum in Clause 7.3. We review each request and, unless Clause 7.6 applies, approve it within seven (7) days. Once approved, the funds are sent to your Stripe Connect account and reach your bank on Stripe's standard payout schedule. All Access Revenue for a month is added to your balance within thirty (30) days of the end of that month.
7.3 Minimum payout. The minimum payout amount is £1.00. If this Agreement ends while you have a balance, we will pay it within sixty (60) days of the termination effective date, whatever the amount.
7.4 Currency. All amounts are denominated and paid in Pounds Sterling (GBP).
7.5 Revenue statements. Your artist dashboard shows every Fan Payment, the split applied to it, and your balance as they happen. A statement of your Confirmed Streams and All Access Revenue for each month will be available within thirty (30) days of month end.
7.6 Withholding for disputes. We reserve the right to withhold payment of amounts that are the subject of a good-faith copyright dispute, charge-back, or suspected fraud, pending resolution of the relevant matter.
7.7 Audit rights. You may, upon not less than fourteen (14) days' written notice and no more than once per calendar year, request a written report verifying the stream count and revenue calculations underlying any monthly statement. Costs of any external audit are borne by you unless material errors are found.
8.1 Artist's tax responsibility. You are solely responsible for declaring and paying all taxes (including income tax, National Insurance contributions, and VAT where applicable) arising from revenues received under this Agreement. We do not withhold tax on artist payments unless required to do so by applicable law.
8.2 VAT-registered artists. If you are VAT-registered in the United Kingdom, you must notify us and provide your VAT registration number. The revenue share described in Clause 6 is exclusive of any VAT you are required to charge on your supply to us; invoicing arrangements will be agreed separately.
8.3 Records. We will retain financial records relating to this Agreement for seven (7) years in compliance with HMRC requirements.
9.1 Platform licences. We obtain and maintain a PRS for Music licence for the Musical Works streamed and sold on the Platform. The rights in your Sound Recordings are licensed to us directly by you under Clause 4, so we do not rely on a PPL licence for them. If any feature of the Platform requires a PPL licence (for example, the broadcast of third-party recordings), we will obtain one.
9.2 Artist registration. You remain solely responsible for registering your works with PRS for Music (for Musical Works) and PPL (for Sound Recordings) if you wish to collect performance and communication-to-public royalties through those organisations. Royalties collected by us under the revenue share in Clause 6 are in respect of the digital distribution and sale licence granted herein and are separate from any royalties you may collect through collecting societies.
9.3 No double-counting. Revenues paid to you under Clause 6 are not a substitute for, and are not set off against, any royalties you collect from PRS for Music, PPL, or any other collecting society.
You represent and warrant to us, on the date of this Agreement and on each date on which you upload Artist Content, that:
These warranties are ongoing for the duration of the Term and you must notify us promptly if any warranty becomes untrue.
11.1 You shall indemnify, defend, and hold harmless the Platform Operator, its officers, directors, employees, and agents from and against any claims, damages, losses, costs (including reasonable legal fees), and expenses arising out of or in connection with:
11.2 We will notify you promptly of any claim and will not settle any claim covered by this indemnity without your prior written consent, which shall not be unreasonably withheld or delayed.
12.1 Platform moderation rights. We reserve the right, acting reasonably, to remove, suspend, or restrict access to any Artist Content that, in our reasonable opinion: infringes third-party intellectual property rights; breaches the warranties in Clause 10; violates the Online Safety Act 2023 or any other applicable UK law; or materially violates our Community Guidelines (as published on the Platform and updated from time to time).
12.2 Notice of removal. Where practicable, we will provide you with written notice (including by email or dashboard notification) of any removal of Artist Content and the reasons for that decision, unless doing so would:
12.3 Appeal. If you believe Artist Content has been wrongly removed, you may submit a written appeal to nichesolutions6@gmail.com within fourteen (14) days of receiving notice of removal. We will review the appeal and communicate our decision within fourteen (14) days of receipt.
12.4 Third-party copyright notices. We operate a notice-and-takedown procedure for third-party intellectual property claims consistent with our obligations as a hosting provider under the Electronic Commerce (EC Directive) Regulations 2002. A valid notice must identify: the claimant; the allegedly infringing content; the copyright work alleged to be infringed; and include a good-faith statement and a declaration of truthfulness. On receipt of a valid notice, we will expeditiously remove or disable access to the relevant content and notify you, whereupon you may submit a counter-notification.
12.5 Law enforcement. We may comply with requests from the Metropolitan Police Service, National Crime Agency, or any other competent authority requiring removal or restriction of content, without prior notice to you where required by law.
13.1 Commencement. This Agreement commences on the date you accept it (by clicking “I Accept” during onboarding or by uploading Artist Content, whichever is earlier) and continues until terminated in accordance with this Clause.
13.2 Termination on notice. Either Party may terminate this Agreement on not less than 30 days' written notice to the other, for any reason or no reason.
13.3 Immediate termination by us. We may terminate this Agreement with immediate effect by written notice to you if:
13.4 Effect of termination. On expiry of the notice period (or immediately, in the case of Clause 13.3):
13.5 Survival. Clauses 3 (Ownership), 8 (Tax), 10 (Warranties, for the period prior to termination), 11 (Indemnification), 15 (Limitation of Liability), and 17 (Governing Law) survive termination of this Agreement.
14.1 We process personal data relating to you (including name, contact details, payment information, and streaming analytics) as a controller under the UK General Data Protection Regulation (“UK GDPR”) and the Data Protection Act 2018.
14.2 The lawful basis for processing is the performance of this Agreement (Article 6(1)(b) UK GDPR) and compliance with our legal obligations, including HMRC record-keeping requirements (Article 6(1)(c) UK GDPR).
14.3 Full details of our data processing activities, including your rights as a data subject (access, rectification, erasure, restriction, portability, and objection), are set out in our Privacy Policy at /privacy.
15.1 Neither Party excludes liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.
15.2 Subject to Clause 15.1, the Platform Operator's total aggregate liability to you under or in connection with this Agreement (whether in contract, tort including negligence, breach of statutory duty, or otherwise) shall not exceed the total Artist Revenue paid to you in the twelve (12) months immediately preceding the event giving rise to the claim.
15.3 Subject to Clause 15.1, neither Party shall be liable to the other for any indirect, consequential, special, or punitive loss, including loss of profits, loss of business, or loss of anticipated savings, even if advised of the possibility of such loss.
15.4 We are not liable for any loss arising from Platform downtime, technical failures, force majeure events, or acts of third-party service providers (including payment processors or CDN providers), provided we have taken reasonable precautions.
16.1 Entire agreement. This Agreement constitutes the entire agreement between the Parties in relation to its subject matter and supersedes all prior representations, negotiations, and agreements (whether written or oral). Each Party acknowledges that it has not relied on any representation not expressly set out herein.
16.2 Variation. No variation to this Agreement shall be effective unless made in writing (which may include electronic acceptance of an updated agreement published on the Platform under Clause 6.3 or as otherwise notified).
16.3 Waiver. A failure or delay by either Party to exercise any right under this Agreement shall not constitute a waiver of that right.
16.4 Severability. If any provision of this Agreement is held to be invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force.
16.5 Assignment. You may not assign or transfer any rights or obligations under this Agreement without our prior written consent. We may assign this Agreement to a successor entity in connection with a merger, acquisition, or sale of substantially all of our assets, provided the successor entity agrees to be bound by its terms.
16.6 Third-party rights. This Agreement does not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
16.7 Notices. Notices under this Agreement shall be in writing and delivered by email (to nichesolutions6@gmail.com for notices to us; to your registered email address for notices to you). Notices are deemed received on the next business day after sending, provided no delivery failure notification is received.
16.8 Independent contractors. The Parties are independent contractors. Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship between the Parties.
17.1 Good faith negotiation. In the event of a dispute arising out of or in connection with this Agreement, the Parties shall first attempt to resolve it by good faith negotiation for a period of thirty (30) days from written notice of the dispute.
17.2 Mediation. If the dispute is not resolved by negotiation, either Party may refer it to mediation administered by the Centre for Effective Dispute Resolution (“CEDR”) before commencing litigation, though participation in mediation is not a precondition to litigation.
17.3 Governing law and jurisdiction. This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
This Agreement is accepted electronically. By clicking “I Accept the Artist Licence Agreement” during the artist onboarding process, or by uploading Artist Content to the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement. The timestamp and IP address of your acceptance are recorded.
We may also ask you to sign a copy of this Agreement. A signed copy and your electronic acceptance are the same Agreement.
If you are signing on behalf of a band, collective, or company, you represent that you have authority to bind that entity and that the term “Artist” refers to that entity.
